Terms of Service

The rules that govern use of Udesyo by students, library owners, staff members, and website visitors.

1. Acceptance of Terms

By registering an account, downloading a Udesyo app, or using any Udesyo service, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Udesyo.

If you register on behalf of a business entity, you represent that you have authority to bind that entity to these terms.

2. The Udesyo Service

Udesyo provides software for exam preparation and study library operations, including a student mobile app, owner mobile app, web directory, and related backend services.

  • Student features include timetable, resources, focus timer, progress, library check-in, and study companion features where available.
  • Owner features include seats, shifts, attendance, payments, receipts, fee reminders, reports, and public listing tools.
  • We may modify, suspend, or discontinue parts of the service with reasonable notice for material changes.

3. Accounts and Registration

  • You must provide accurate information during registration.
  • Your phone number may be used as your login identifier. Keep it current.
  • You are responsible for all activity under your account.
  • OTP codes are single-use and must not be shared.
  • Library owners may add staff or managers where the plan supports it.

4. Library Owner Obligations

As a library owner using Udesyo, you agree to:

  • Provide accurate library information, including address, seats, pricing, facilities, and shifts.
  • Update seat availability and student records in good faith.
  • Obtain required local permissions and licences to operate your library.
  • Obtain appropriate consent before adding student personal data to Udesyo.
  • Not post misleading listings, reviews, ratings, or availability data.

5. Payments, Subscriptions & Refunds

Pricing & taxes

  • Paid plans (Basic, Pro, Chain) are billed monthly or annually in advance. Subscription prices shown in the app are exclusive of GST; 18% GST is added at checkout and stated separately on every tax invoice.
  • Udesyo issues a GST-compliant tax invoice for each subscription payment, identifying Udesyo's GSTIN and SAC code 998314.
  • Students pay library owners directly via UPI or cash. Udesyo does not take a transaction fee on direct student payments and is not a Payment Aggregator.
  • Prices may change with at least 30 days' notice. The new price applies from your next renewal.

Cancellation

  • You may cancel a subscription at any time from the app (More › Subscription) or by emailing support@udesyo.com.
  • Cancellation stops future renewals. You retain access until the end of the period you have already paid for.
  • We will not auto-renew without giving you at least 24 hours' prior notice and an unambiguous opportunity to opt out, in line with applicable RBI rules.

Refunds (7-day cool-off)

  • First paid subscription — 7-day cool-off: if you cancel within 7 calendar days of your first paid charge for a plan, you may request a full refund of that charge, less any applicable transaction fees retained by the payment aggregator.
  • Renewals of an existing subscription are non-refundable except where required by law. We may, at our discretion, pro-rate a refund for unused full months when the cancellation is due to a fault on our side.
  • Refunds are processed to the original payment method within 7 business days of approval.
  • To request a refund, email support@udesyo.com from the registered owner phone number / email, with your subscription invoice number.
  • The free trial does not require any payment, so no refund is applicable.

6. Student Data Responsibility

Student data entered by a library owner belongs to the student. The library owner is responsible for lawful collection and use of that data.

  • Collect only data necessary to run the library or provide the student service.
  • Respond to reasonable student access or deletion requests.
  • Do not export, sell, or misuse student contact lists.
  • Use student data only for legitimate library management and student support purposes.

7. Prohibited Use

  • Do not violate applicable Indian law or regulation.
  • Do not spam, harass, mislead, or exploit students or owners.
  • Do not create fake libraries, fake reviews, fake attendance, or false availability data.
  • Do not scrape, reverse-engineer, overload, or attack the platform.
  • Do not upload malicious code or try to bypass subscription restrictions.

8. Intellectual Property

Udesyo, its software, design, brand, and documentation are owned by Udesyo or its licensors. You may not copy, modify, or distribute them without written permission.

You retain ownership of your library data and student data you lawfully control. You grant Udesyo a limited licence to store, process, and display that data only to provide the service.

9. Limitation of Liability

To the maximum extent permitted by law, Udesyo is not liable for indirect losses, business interruption, third-party payment failures, or actions of library owners or students outside our control.

Our total liability for any claim is capped at the fees paid to Udesyo in the 3 months before the claim, unless applicable law requires otherwise.

10. Termination

You may terminate your account by using the app controls or contacting support. We may suspend or terminate accounts for material breach, fraud, illegal activity, platform abuse, or student data misuse.

On termination, public library listings may be removed and data will be handled according to our Privacy Policy and legal retention obligations.

11. Governing Law

These terms are governed by the laws of India. Disputes are subject to the jurisdiction of courts in Delhi, India, unless applicable law requires another forum.
